These Terms of Use (“Terms”) govern access to and use of the Up Up Education website, platform, and related services (“Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Purpose and Scope of Services

Up Up Education provides AI‑supported tutoring and instructional tools designed for K–12 educational environments. The Services are intended to support teaching and learning in schools and districts and must be used only for lawful, educational purposes in accordance with applicable laws, regulations, and district policies.

2. Accounts and Authorized Access

Schools, districts, and their designated personnel may create and manage accounts to access administrative and student‑facing features. You are responsible for:

• Ensuring that only authorized users access the Services
• Maintaining the confidentiality of usernames, passwords, and other credentials
• Promptly notifying us of any suspected unauthorized access or security incident

3. Intellectual Property

All content, software, documentation, and materials made available through the Services are owned by Up Up Education or licensed to us. Except as expressly permitted in writing, you may not copy, modify, distribute, publicly display, create derivative works from, or reverse‑engineer any part of the Services.

4. Prohibited Use

You agree not to use the Services in any way that could harm students, staff, systems, or data. Prohibited activities include, without limitation:

• Attempting to gain unauthorized access to any system or account
• Interfering with the security, availability, or performance of the Services
• Using the Services to collect, process, or store data in violation of law or policy
• Uploading or transmitting malicious code, harmful content, or abusive material

5. Student Data and Compliance

When the Services are used with student information, districts remain the data controllers and are responsible for ensuring compliance with FERPA and other applicable student privacy laws. Up Up Education processes student data only as directed by the district and does not sell student information to third parties.

6. Service Availability and Changes

We strive to provide reliable, high‑quality Services, but we do not guarantee uninterrupted or error‑free operation. We may modify, update, or discontinue features from time to time to improve performance, security, or usability.

7. Limitation of Liability

To the maximum extent permitted by law, Up Up Education is not liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services. Your use of the Services is at your own discretion and risk.

8. Suspension and Termination

We may suspend or terminate access to the Services if we reasonably believe there has been a violation of these Terms, a security risk, or misuse of the platform. Districts may discontinue use of the Services at any time in accordance with their own policies.

9. Updates to These Terms

We may revise these Terms periodically. The Effective Date at the top of this page reflects the latest version. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
